本激勵(lì)計(jì)劃的激勵(lì)對(duì)象范圍為：董事會(huì)認(rèn)定可以納入本激勵(lì)計(jì)劃的外籍員工，合計(jì)5人。

　　The scope of this incentive plan includes 5 foreign employees recognized by the board of directors as eligible for inclusion in this incentive plan.

　?。ㄒ唬┯?jì)劃對(duì)象確定的法律依據(jù)本股票增值權(quán)計(jì)劃對(duì)象根據(jù)《公司法》《證券決》及其他有關(guān)法律、法規(guī)和規(guī)范性文件以及富邦股份《公司章程》的相關(guān)規(guī)定，結(jié)合公司實(shí)際情況而確定。

　　（1） The legal basis for determining the target of the plan is based on the Company Law, Securities Decision, other relevant laws, regulations and normative documents, as well as the relevant provisions of the Articles of Association of Fubon Corporation, combined with the actual situation of the company.

　?。ǘ┯?jì)劃對(duì)象確定的職務(wù)依據(jù)本計(jì)劃涉及的計(jì)劃對(duì)象為公司董事會(huì)認(rèn)定的對(duì)公司經(jīng)營(yíng)業(yè)績(jī)和來(lái)，來(lái)發(fā)展有直接影響的外籍管理人員、核心業(yè)務(wù)（技術(shù)）人員。

　?。?） The positions determined for the planned targets are based on the foreign management personnel and core business (technical) personnel recognized by the company's board of directors as having a direct impact on the company's business performance and development.

　　（三）計(jì)劃對(duì)象的考核依據(jù)依據(jù)公司董事會(huì)通過(guò)的富邦股份《股票增值權(quán)激勵(lì)計(jì)劃考核管理辦法》對(duì)計(jì)劃對(duì)象進(jìn)行考核，計(jì)劃對(duì)象經(jīng)考核合格后方具有獲得授予本期股票增值權(quán)的資格。

　?。?） The assessment criteria for the planned objects are based on the "Management Measures for the Assessment of Stock Appreciation Rights Incentive Plans" approved by the board of directors of Fubon Corporation. The planned objects are eligible for the grant of stock appreciation rights for the current period only after passing the assessment.

　?。ㄋ模┊?dāng)本激勵(lì)計(jì)劃對(duì)象發(fā)生職務(wù)變更、離職、喪失勞動(dòng)力、退休、死亡等情形，公司董事會(huì)可依據(jù)相關(guān)規(guī)定及本計(jì)劃的有關(guān)規(guī)定對(duì)計(jì)劃對(duì)象進(jìn)行調(diào)整。

　?。?） When the object of this incentive plan undergoes a change in position, resignation, loss of labor force, retirement, death, etc., the company's board of directors may adjust the plan object in accordance with relevant regulations and the relevant provisions of this plan.

　?。ㄎ澹┯?jì)劃對(duì)象的范圍本計(jì)劃涉及的計(jì)劃對(duì)象共計(jì)5人，均為外籍管理人員、核心業(yè)務(wù)（技術(shù)）人員，所有計(jì)劃對(duì)象必須在本計(jì)劃的考核期內(nèi)簽署勞動(dòng)合同或聘用合同。
